This agreement is between you the business using our services, and us
Contrado Imaging Ltd (UK Registered company number 4666562 Registered
Office, 36-38 Westbourne Grove Newton Road, London W2 5SH)
Terms of use of this web site and services
Introduction
This web site is operated by Contrado Imaging Ltd (Bags of Love [tm] or
Photo Canvas are a trade names and are included in "we" or "us" or Contrado
Imaging Ltd). We refer to the trade relationship as Trade Partnership.
We refer to your account as Trade Account. We refer to you the business
buying from Contrado Imaging Ltd as the Partner. We refer to the online
buying system as the Trade Partner System or TPS.
The web site provides access to a number of services that may be used
in accordance with these terms. The services include:
the ability to upload digital images to the web site or to email digital
images to us so that we can process them on your behalf;
the ability to order products of images that have been uploaded to the
web site or emailed or posted to us.
These terms govern the relationship between you and us. The web site (and
the services provided through the web site) can only be used if you agree
to these terms. You may only use the web site in accordance with these
terms.
Only persons aged eighteen years or over may agree to these terms and
use the web site or the services offered through the web site.
We may modify these terms at any time. We will post the modified terms
on the web site so note that they may alter over time. We require that
you revisit these terms when you use or return to this web site. The modified
terms will come into effect as soon as they are posted on the web site
and use of the web site (or of any services provided through the web site)
after that point will be subject to the modified terms.
Note - Terms and Conditions of Sale are dealt with here in advance. By
purchasing though our TPS (trade partner system) you are agreeing to the
terms. Please be sure to reread these before the time of ordering if in
any doubt. If you make a telephone order to us (based on the fact that
you can't for whatever reason use the online web purchasing facility or
use the order forms) then we alert you now to the fact that terms and
conditions apply. Your provision of any payment details or prior account,
would deem that the terms are accepted by you as a buyer.
Note - Payment - you are agreeing to pay us the prices given in the TPS
pricelist or schedule. You are agreeing to paying these sums at point
of sale with a credit or debit card or similar.
Note - All Product Sizes are pretty accurate, but due to the nature of
making customised products by hand and one by one, there will be marginal
size differences in the finished item to the sizes quoted on this web
site. Occasionally we may substitute materials and adjust product design
to accommodate production considerations in relation to supply or stock
shortages.
Note - All Promotional Images of our products are good guides for what
we make. We do not warrant that the final item will be exactly as per
the images contained in this web site. There are often improvements made
to products that are not visible in the promotion photographs, and there
may be occasion when a stock component may be unavailable giving rise
to the need to supply a variant of that part in the finished item.
Note - Delivery Times are stated in good faith. Wherever a delivery time
is stated, it serves as a guide timeline and we do not warrant that the
products will be with you on a specific date. We will do our best to meet
these timelines but cannot guarantee it. Over 98% of our products are
delivered inside our quoted timelines.
Images
You may upload digital images to the web site yourself or email them to
us to upload to the web site and store on your behalf. Your copyright
is strictly protected - but you are permitting us and our finishing services
to render the images for the final purpose. Images uploaded to the web
site or emailed to us for uploading are preferred by us to be digital
images in JPEG format (.jpg), although we do accept and work with other
files formats. Images uploaded by you or by us on your behalf which are
then turned into a personalised item will (subject to the restrictions
in these terms) be made available for viewing to other users of this site
for display in our Gallery. You have the option to decline permission
to do this at the stage of ordering.
What you are allowed to do
You may access any part of the web site that is password protected to
be your account plus any other public parts of our site. The purpose of
accessing this Trade Partner System is for you buy products though our
ordering facility for your customers. Access to some parts of the site
is only available if you have a valid password. You may not access these
areas without a valid password.
You are allowed to use our promotional images and texts provided in the
Image and Data Banks. These are the only images we will allow you to publish
on your website or promotional literature and they are only to be used
in support of selling products we can supply you.
What you are not allowed to do
You not are allowed to copy (whether by printing off onto paper, storing
on disk or in any other way), distribute (including distributing copies),
alter or tamper with in any way or otherwise use any material contained
in the Contrado web sites EXCEPT where it is overtly used to promote Contrado
products that we supply to you as set out under "what you are allowed
to do"
You are not allowed to use the web site (or to copy or use any material
from the web site) for any commercial purpose other than to conduct commercial
practice with Contrado.
You are not allowed to remove any copyright, trade mark or any other intellectual
property notices contained in the original material from any material
copied or printed off from the web site.
You must keep your password secure at all times. You will be responsible
for any damage caused by unauthorised access resulting from your failure
to keep your password secure.
You are not allowed to upload, email to us or order products of any images
or other material which contain:
pornographic or obscene material;
racist material;
material that is likely to incite hatred against any person or group;
blasphemous material;
defamatory or otherwise actionable material;
images of any criminal act;
material the use or inclusion of which infringes any copyright, trademark
or other intellectual property right of any third party;
material that breaches any applicable laws or legislation
We may at our discretion contact law enforcement authorities if we believe
that anything unlawful is occurring or has occurred in relation to the
web site (including the uploading or emailing of any images in breach
of the above restrictions). We may provide copies of any relevant images
or material to the law enforcement authorities and in that connection
may also give them access to any personal data that is held by us.
We may without notice and at our sole discretion delete or remove any
image that has been uploaded, emailed or submitted for printing in breach
of these terms.
We may refuse to provide any further services to anyone who breaches these
terms. You will indemnify us and our officers and employees against any
action, claim, damages, liability, costs and expenses arising out of:
any use by you or your guests of this web site in breach of these terms,
any claim that the uploading or emailing of any images by you or on your
behalf is an infringement of any third party's copyright, trade mark or
other intellectual property rights;
any claim that the processing, printing or other dealing with by us in
accordance with these terms of any images uploaded or emailed by you or
on your behalf is an infringement of any third party's copyright, trade
mark or other intellectual property rights.
Rights
You retain all intellectual property rights, including copyright, to the
images that you have uploaded to the web site or emailed to us. You allow
Contrado and it's operatives, staff, and suppliers to carry out your order
instructions with the images.
We may delete, remove or refuse to display any at our sole discretion.
We may display, modify, print, transmit, distribute or delete any of the
images that you upload or email to us, provided that this use is necessary
in order to provide any of the services offered by us via the web site
or is otherwise allowed by these terms.
It is a condition of allowing you to use the web site and any services
offered through it that you have the right to copy, upload or otherwise
deal with images in relation to the web site and to allow us to process
and otherwise deal with those images in accordance with these terms. You
may not upload, email to us, request us to print or otherwise deal in
relation to the web site with any images or other material unless you
have the right to do so and to allow us to use such images or other material
in accordance with these terms. For example, you may not take photos from
another web site or other publication and do anything with them unless
you have the permission of the relevant rights owner.
Operation of the web site and Trade Partner System (TPS)
We offer free access to the TPS ordering and fulfillment system to valid
trade partners. We have designed and built it at considerable cost to
allow Trade Users simple ordering. We are not obliged to offer or maintain
it except at our sole discretion. A Trade Partner is invited to use it
at our discretion and we may withdraw the service at our discretion.
We may change the format and content of the web site (or any products
or services offered by this web site) at any time.
We may terminate or suspend the operation of this web site (or terminate
or suspend provision of any products or services offered via this web
site) for support or maintenance work, in order to update the content
or for any other reason. We may do this at any time and without notice.
You are advised to keep back ups of all material provided to us. In particular,
it is up to you to keep backup copies of images uploaded by you or emailed
to us. We will not be responsible for keeping backups or for loss of,
deletion or corruption of any images or any other material.
Data protection
Personal data provided to us through this web site will only be used in
accordance with our privacy policy. We do nothing else with it other than
fulfill the orders. Please read through this carefully before proceeding.
By providing your personal data to us you are consenting to its use in
accordance with our privacy policy.
If and when you provide your customer details though our systems we warrant
that we will not do anything with them except fulfill your orders. We
do not store them save for the purposes of your order delivery.
Services/ products
Once you have placed an order for any goods or services via this web site
(including any order for product or services), the order will not be treated
as having been accepted until you receive confirmation from us that this
is the case. This confirmation may be by email or post. The decision as
to whether to accept any order from you is at our discretion and we are
not bound to do so. We may, at our sole discretion, refund all monies
and cancel any orders.
To maintain continuity of service we reserve the right to use alternative
materials in production, to those stated on the website.
Offer codes or additional override discounts are not available in addition
to the Trade Partner trade pricing.
We will use our reasonable endeavours to reply promptly to all correspondence.
Such reply may be by email or by post.
Contrado Imaging Ltd holds all right to remove any product from the line
at any time with written notice due to product line refinement and marketing.
REFUNDS & GUARANTEES: All sales are final. All products are guaranteed
up to 1 full year against any defects that may have occurred during production.
This guarantee does not cover normal wear and tear of the products nor
marginal colour variation.
REDOS: In the event a redo is needed due to a production flaw or defect,
the trade Partner is required to call or email Contrado Imaging Ltd and
receive (Return Authorisation). This RA is required to be written legibly
on the outside of the box for acceptance. If it is not written on the
packaging, the package will be declined and sent back at Trade Partner's
expense.
SAMPLES: Trade Partners in the program are strongly advised to purchase
minimum THREE assorted samples.
SAMPLE TERMS: In the event you fail to place ANY orders or fail to make
every effort to fulfill the quota of at least 3 orders a month within
the first three months, you give the right to Contrado Imaging Ltd to
charge your line of credit the retail difference due between any wholesale
price and our retail prices. This is to deter partners who apply to the
program only to try to receive purchases at wholesale prices.
Product Preparation: All Partners involved with the Trade Partner program,
are required to be PhotoShop skilled and have the ability to render their
client's images to the templates provided by Contrado Imaging Ltd (Templates
will be provided to Trade Partners in the Toolkit)
Printing Conditions and Colour Management: Due to the nature of printing
onto our selected materials across a range of products, we DO NOT guarantee
the exact colour matching. We will do our best.
Product Pricing: Contrado Imaging Ltd provides wholesale costs and suggested
retail cost for each product and its additional design options for each
bag. Partner Retail prices are determined by the Trade Partners. Trade
partner's own premium in their image or service will determine price above
and beyond the RRP's.
REPRESENTATION: Trade Partners may only submit the orders of their clientele.
A Trade Partner DOES NOT have permission to license or offer distribution
rights to another party. A Trade Partner may submit orders on behalf of
a third party business as long as it is deemed a small business within
their clientele. Please inform Contrado of any medium to large Third Party
Orders so that details can be discussed. If a Trade Partner misuses their
representation, Contrado Imaging Ltd may terminate the Trade Partner account
from at any time, with or without cause.
Termination
We may terminate your Trade Partner Account without notice at our sole
discretion.
Once your order or Account is terminated, your images will be removed
from our systems. We will refund any monies due in such a circumstance.
Questions or complaints
Complaints or claims must be notified to us within fourteen days of receipt
of goods, or in the case of non-delivery, in a reasonable time after the
goods were expected to arrive. See our returns policy. If you have a question
or complaint, please contact us.
Law and jurisdiction
These terms (and the provision of goods and services by us) are governed
by and to be interpreted in accordance with English law. In the event
of any dispute arising in relation of these terms or in relation to the
provision of any goods and services by us the English courts will have
exclusive jurisdiction over such dispute.
Communication
If there is a question with your order, a representative of Contrado Imaging
Ltd will contact you directly. You agree to contact your customer immediately
if required to resolve the question to avoid any additional delay in the
production process.
Contact Info: Contrado Imaging Ltd will provide a main contact to follow
up with any questions that are not covered. Please make sure you appoint
a direct contact to represent your business. This representative will
be the liaison for all escalated issues and concerns, as well as updated
information, products and training.
Order Status: Please refrain from frequently calling directly to Contrado
Imaging Ltd about your customer's order status if it is still within scheduled
times. Delayed Order: there may be reasons to why a specific order is
delayed. Timelines are good guide but not guaranteed.
Returns
Policy
Return of Faulty Goods: If a product is faulty in any way, then
you or your customer can return it to Contrado Imaging Ltd within 14 days.
Please call our Customer Services Department on 020 8960 4567 upon receipt
of the product quoting your account number and order id. A Customer Services
representative will then talk you through the returns procedure and give
you a Returns Authorisation.
Please do not send your products back to Contrado without contacting a
member of our team first. May we remind you to review the terms that you
agreed to at time of purchase which are on your order form (if posted)
or on our web site if purchased online and in the online order confirmation
email.
We are determined that you should be a happy Partner and we put
in huge efforts to produce the best items we can, but human error may
occasionally surface. If you are unsatisfied, raise your concern. Please
note we work in accordance with these provisions:
Non-faulty goods. We cannot accept returns of Non-Faulty goods because
the products have been personalised or customised specifically for you.
To return faulty goods you need to firstly contact a member of our Customer
Services on 020 8960 4567. Please send written notice and return the product
to Contrado Imaging Ltd (please see the Contact Us page for the address)
We will only acknowledge returned goods if they are sent using Royal Mail
'Signed For' Recorded delivery so you have proof of delivery. You will
have to meet the delivery costs of returning the products, although we
will refund the postage at our discretion once the item in question is
rechecked. If we are at fault then we will reimburse Royal Mail 'Signed
For' Recorded delivery postage costs.
It is only when we receive the item in its original state, that Contrado
will redo or recommend remedy for a faulty item. Please note if the product
is not in an unused condition then we will not be able to offer you a
remedy save for faulty workmanship which we may repair.
Where there is minor fault we may suggest an alternative remedy. It
is rare that problems occur.
Privacy Policy
When you input information, or request services from us, we have strict
security procedures covering the storage and disclosure of your information
(although we do not warrant that this is the case) in order to prevent
unauthorised access to comply with the UK Data Protection Act of 1998.
This means that sometimes we may ask for proof of identity before we disclose
personal information to you.
This privacy statement
sets out how we will treat your personal information and forms part of
the Terms and Conditions of this site. We may occasionally modify this
Privacy Statement.
The information that
we hold about you may be used by us to contact you [either in writing,
by post, by fax or by e-mail] about changes to the Contrado TPS, websites,
our products and services.
We may collect information
about your tastes and preferences both when you tell us what these are
and by analysis of website traffic, including by using cookies. A cookie
is a piece of information that is stored on your computer's hard drive
by your web browser. On revisiting the Contrado Website our computer server
will recognise the cookie, giving us information about your last visit.
Most browsers accept cookies automatically, but usually you can alter
the settings of your browser to prevent automatic acceptance. If you choose
not to receive cookies, you may still use most of the features of the
Contrado Website.
We may use information
collected about you to help us (a) develop the design and layout of the
Contrado TPS website to ensure that it is as useful and enjoyable as possible
and (b) to inform you of goods, services and special offers that may be
of interest to you.
No mailing list either
by post or email is operated in the interests of not annoying you. This
does mean you may like to revisit our site regularly as there will not
me reminders or alerts to Special Offers or new product developments.
We may also provide
aggregate statistics about our services, competitions, clients, traffic
patterns and other site information to third parties, but these statistics
will not include any information that could personally identify you.
If you are under 18
years old, you must give us the email address of your parent or guardian.
We will contact them to tell them that you are giving us personal data
and to obtain any necessary consents from them.
To comply with applicable
laws and lawful government requests, we reserve the right to access and
disclose individually identifiable information to operate our systems
properly or to protect our users or ourselves. We also reserve the right
to disclose individually identifiable information to third parties where
a complaint arises concerning your use of the Contrado Website, and that
use is deemed by us inconsistent with the Terms and Conditions.
In the unlikely event
that the Contrado Website and the customer data relating to it are sold
to a third party, we will endeavour to ensure that your rights and freedoms
in respect of the processing of your personal data are adequately and
appropriately protected.
We reserve the right
to pass on your personal information to any law enforcement agencies requesting
it in connection with the commission of any offence, once we are reasonably
satisfied as to the circumstances surrounding the request.
